Merchant Agreement

1. Nature of Partnership

Merchants join Sooper Buddy as independent businesses. Sooper Buddy provides the technology platform and logistics support. The merchant retains full responsibility for the quality, safety, and accuracy of its products and services.

2. Onboarding Requirements

All merchant partners must hold and maintain:

  • Valid FSSAI registration (for food businesses)
  • Applicable state or local business licences
  • GST registration where applicable
  • MSME registration (preferred but not mandatory)

3. Commission Structure

Sooper Buddy charges a commission on the net order value (excluding taxes) for each order facilitated through the platform. The applicable commission rate is agreed upon at onboarding and documented in the Merchant Schedule. Commission rates may be revised with 30 days' written notice.

4. Payouts to Merchants

Merchant payouts (order value minus commission and applicable deductions) are settled on a weekly basis, credited to the registered bank account within 5 business days after the settlement period ends.

5. Agreement Duration & Termination

The Merchant Agreement is valid for 12 months from activation and auto-renews annually. Either party may terminate with 30 days' written notice. Sooper Buddy may terminate immediately for material breach, fraud, or sustained poor performance.
